Prepare it before you need it
The best time to build your data room is before investors ask. When you can share a clean, complete folder the moment diligence starts, you signal competence and keep the deal's energy high. Scrambling for documents reads as disorganisation at exactly the wrong moment.
Organize it the way investors think
Use clear top-level folders: corporate and legal, financials, cap table, product and technology, team, customers and traction, and market. Predictable structure lets investors find what they need without emailing you for every file. Friction is what slows diligence.
Include the core documents
Expect to provide incorporation documents, the cap table, prior financing agreements, financial statements and a model, key contracts, your metrics dashboard, and a few customer references. Founders who have these ready close faster and project control.
Tell the truth, neatly
